1. Services

Subject to the terms and conditions of this Agreement, the Company hereby retains the right with no limitations to use HSMI Platform services. Subscribing to the platform will allow the Company to have its profile listed on HSMI Company Room as well as the possibility to search and contact all the investors listed on the HSMI Investor Room. Both Company Room and Investor Room are part of the HSMI Platform. By agreeing with these terms and conditions the Company will give to the Advisor permission to share via its platform all the info and docs the Company will provide to the Advisor in order to create its profile on HSMI Platform.

2. Terms of the services

2.1 In consideration of the Services to be provided by Advisor to the Company hereunder, Company shall pay to Advisor the amount of $250 as one year subscription fee, Company has also the option to pay on a monthly basis for the amount of $25 per month. All subscriptions are recurring and will automatically renew after the end of each paid subscription period. The Company will receive a regular invoice in two working days after the payment has been executed. The invoice submitted to the Company shall be subject to VAT payable to the rate pertaining at the time.

2.2 Company is aware that it is not permitted to share the user and password related to its account with any third parties that are not part of its organization.

3. Cancellation Policy

Full subscription refunds will be granted for requests received by our Team "info@localhost" within 7 days of the payment. After 7 days, no refunds will be issued. As per the Consumer Rights Directive, citizens of the European Union are entitled to a full refund during the 14 days after the subscription begins.

If you have paid via Credit Card or Paypal, for canceling your subscription just go on your bank account and deactivate the Direct Debit. In case you have paid via Bank Transfer, please email to info@localhost your desire to terminate your subscription no fewer than 30 days before the expiring date.

When you cancel a subscription, you cancel only future charges associated with your subscription. Cancellations are effective at the end of the current billing period. All subscriptions are recurring and will automatically renew after the end of each paid subscription period. You will not receive a refund for the current billing cycle as you will continue to have the same access and benefits of your subscription for the remainder of the current billing period.

HSMI Ltd is also free to terminate (or suspend access to) your use of your subscription or your account if in breach with the Art. 2.2 of our Terms of the service. You will not be entitled to a refund in these circumstances.

4. This agreement constitutes the entire agreement and understanding between the parties to this Agreement and supersedes all prior and contemporaneous agreements, negotiations and understanding between the parties whether oral or written, expressed or implied.

6. Confidentiality
Each Party will use all reasonable endeavours not to disclose to any third party any Confidential Information nor use for any purpose except as expressly permitted by this Agreement.

7. Non-Assignment
Neither party may assign, transfer or otherwise dispose of this Agreement in whole or in part or any interest therein without the prior written consent of the other party.

8. Applicable law and jurisdiction
This agreement shall be governed by and construed in accordance with the laws of England and Wales and the English Courts shall have exclusive jurisdiction to deal with any dispute which may arise out of or in connection with this Agreement.
